1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Coherence Health Systems, Inc. ("Coherence Health," "we," "us," or "our"), a Delaware corporation, governing your access to and use of the website located at joincoherence.com (the "Site") and any related content, forms, and communications (collectively, the "Services").
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.
This Site is an informational and enrollment site. If you enroll in a Coherence Health clinical program, that care is governed by separate agreements you will receive at enrollment — including our Telehealth Informed Consent, Health Information Privacy Practices, and clinical services agreement — which control over these Terms with respect to clinical care.
2. Eligibility
To use the Site you must be at least 18 years of age (or the age of majority in your jurisdiction) and located in the United States. By using the Site you represent that you meet these requirements.
3. The Site Is Educational — Not Medical Advice
The content on this Site, including any educational video and related materials, is provided for general educational and informational purposes only and is not medical advice, diagnosis, or treatment. It is not a substitute for professional medical advice from your own qualified healthcare provider. Always seek the advice of your physician or other qualified provider with any questions you may have regarding a medical condition.
Using the Site, watching our content, or requesting or booking a consultation does not create a provider-patient relationship between you and Coherence Health or any of its clinicians. A provider-patient relationship is formed only upon enrollment and acceptance into a Coherence Health program under separate agreements.
The Site is not for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not rely on this Site for urgent or emergency care.
4. No Guarantee of Outcomes
Coherence Health does not guarantee any specific health outcome, cure, or result. Chronic conditions involve complex biological, behavioral, and environmental factors, and individual results vary. Any information or examples presented on the Site are intended to educate, not to promise specific clinical improvements.
5. Information You Provide
When you submit a form on the Site, you agree to provide accurate, current, and complete information (such as your name, email address, and phone number). You are responsible for the information you submit, and you agree not to submit information on behalf of another person without their authorization.
6. Intellectual Property
All content, materials, software, trademarks, logos, and other intellectual property on the Site ("Coherence Health IP") are owned by or licensed to Coherence Health Systems, Inc. and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes, subject to these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of any Coherence Health IP, and you may not use any data-mining, scraping, or similar data-gathering tools on the Site.
7. Prohibited Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law;
- Impersonate any person or entity, or misrepresent your identity or affiliation;
- Interfere with or disrupt the integrity or performance of the Site;
- Attempt to gain unauthorized access to our systems or other users' data; or
- Use the Site to transmit any harmful, fraudulent, or deceptive content.
8. Communications and Text Messaging
8.1 Consent to Electronic Communications
By submitting a form on the Site, you consent to receive electronic communications from Coherence Health, including responses to your inquiries, confirmations, scheduling messages, and service updates.
8.2 Marketing Text Messaging
Marketing or promotional SMS/text messages are sent only to individuals who have provided prior express written consent through a clearly labeled opt-in (such as the checkbox at the point of collection). - Frequency: up to approximately four (4) marketing messages per month.

8.3 Email Marketing
You may opt out of email marketing at any time by following the unsubscribe instructions in any such communication or by contacting us at support@coherencehealth.io.
9. Disclaimers
9.1 Third-Party Services
The Site may reference or integrate with third-party products or services (such as our scheduling provider). Coherence Health is not responsible for the quality, accuracy, or availability of third-party services, and your use of them is subject to their own terms and policies.
9.2 Site Availability
We strive to maintain continuous availability of the Site, but we do not guarantee uninterrupted, error-free, or secure access. We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time without prior notice.
9.3 "AS IS"
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COHERENCE HEALTH SYSTEMS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF COHERENCE HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTHING IN THESE TERMS SHALL LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless Coherence Health Systems, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your breach of these Terms, your violation of any applicable law, or any inaccurate or misleading information you provide.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute proceedings, you agree to contact Coherence Health at legal@coherencehealth.io to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within thirty (30) days.
12.2 Binding Arbitration
If a dispute arising out of or relating to these Terms or your use of the Site cannot be resolved informally, you and Coherence Health agree that it shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except for claims relating to intellectual property infringement and claims that may be brought in small-claims court. The arbitration shall take place in New Castle County, Delaware, or, at your election, your county of residence.
12.3 Class Action Waiver
YOU AND COHERENCE HEALTH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
12.4 Exceptions
This arbitration agreement does not preclude you from filing a complaint with any applicable state attorney general or federal regulatory agency, and it does not apply to claims for injunctive or equitable relief.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Site. Your continued use of the Site after the effective date of any modification constitutes acceptance of the revised Terms.
15. Miscellaneous
These Terms, together with our Privacy Policy and SMS Marketing Program Terms, constitute the entire agreement between you and Coherence Health with respect to the Site. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them without restriction. We are not liable for any failure or delay due to causes beyond our reasonable control.
